Our client&#8217;s growing organization is seeking a <strong>Vice President, Corporate Securities &amp; M&amp;A<\/strong> to serve as a trusted advisor to executive leadership and play a critical role in driving the company&#8217;s growth strategy.<\/p>\n<p>This position offers the opportunity to lead high-impact transactions, oversee public company compliance obligations, and partner closely with senior business leaders in a dynamic, fast-paced environment.<\/p>\n<h2>What You&#8217;ll Do<\/h2>\n<h3>Mergers &amp; Acquisitions Leadership<\/h3>\n<ul>\n<li>Lead legal support for strategic acquisitions, from deal structuring and due diligence through closing and post-transaction integration.<\/li>\n<li>Draft, review, and negotiate transaction documents, including purchase agreements, financing documents, and ancillary agreements.<\/li>\n<li>Conduct legal due diligence to identify risks, liabilities, and opportunities.<\/li>\n<li>Advise leadership on transaction strategy, risk mitigation, and operational considerations.<\/li>\n<\/ul>\n<h3>Strategic Business Partnership<\/h3>\n<ul>\n<li>Partner with Finance, Operations, Commercial, Investor Relations, and Compliance teams to align legal guidance with business objectives.<\/li>\n<li>Provide practical, business-focused legal counsel to executive leadership.<\/li>\n<li>Collaborate with senior legal leadership on department initiatives and organizational priorities.<\/li>\n<li>Support strategic projects, equity offerings, partnerships, and growth-focused transactions.<\/li>\n<\/ul>\n<h3>Public Company Securities &amp; Compliance<\/h3>\n<ul>\n<li>Prepare and oversee SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 filings.<\/li>\n<li>Manage disclosure processes to ensure accuracy, consistency, and regulatory compliance across public communications.<\/li>\n<li>Advise on corporate governance matters, Board obligations, committee activities, and policy development.<\/li>\n<li>Support quarterly and annual earnings processes, including earnings releases and investor communications.<\/li>\n<li>Administer insider trading compliance programs, blackout periods, and 10b5-1 plans.<\/li>\n<li>Provide legal support for debt and equity offerings and other capital markets transactions.<\/li>\n<li>Monitor regulatory developments and implement necessary compliance measures.<\/li>\n<li>Serve as a key contact for regulators, stock exchanges, and external stakeholders.<\/li>\n<\/ul>\n<h3>Governance &amp; Risk Management<\/h3>\n<ul>\n<li>Help ensure corporate policies and procedures align with legal and regulatory requirements.<\/li>\n<li>Manage relationships with outside counsel while balancing cost efficiency and high-quality legal support.<\/li>\n<li>Proactively identify, assess, and mitigate legal and regulatory risks.<\/li>\n<\/ul>\n<h2>Qualifications<\/h2>\n<h3>Required<\/h3>\n<ul>\n<li>Juris Doctor (JD) from an accredited U.S. law school.<\/li>\n<li>Active membership in at least one U.S. state bar.<\/li>\n<li>Minimum of 5 years of experience at a leading law firm with significant exposure to:\n<ul>\n<li>Public company securities law, SEC reporting, disclosure requirements, and corporate governance.<\/li>\n<li>Complex mergers and acquisitions transactions.<\/li>\n<\/ul>\n<\/li>\n<li>Proven ability to independently manage multiple high-priority matters in fast-paced environments.<\/li>\n<li>Strong legal drafting, negotiation, analytical, and communication skills.<\/li>\n<li>Ability to effectively advise executive leadership and Board-level stakeholders.<\/li>\n<li>Demonstrated experience building trusted cross-functional partnerships.<\/li>\n<li>Sound judgment, high ethical standards, and the ability to handle confidential matters with discretion.<\/li>\n<\/ul>\n<h3>Preferred<\/h3>\n<ul>\n<li>Combination of law firm and in-house public company experience.<\/li>\n<li>Experience within a highly
