Hybrid, 3 days per week in office.<\/p>\n<\/p>\n<p>About the Opportunity<\/p>\n<p>A global, market leading beauty company is seeking an experienced corporate and securities lawyer to join its legal team in a highly visible role supporting enterprise governance, capital markets activity, and global corporate structure.<\/p>\n<p>This is a senior individual contributor position within a sophisticated, international legal function, offering direct exposure to senior leadership and the opportunity to shape governance frameworks and strategic initiatives across a complex global business.<\/p>\n<\/p>\n<p>Responsibilities<\/p>\n<p>Lead U.S. corporate governance and securities law matters, including:<\/p>\n<ul>\n<li>Disclosure obligations and public facing materials<\/li>\n<li>Investor communications<\/li>\n<li>Governance policies and compliance frameworks<\/li>\n<\/ul>\n<p>Support public reporting processes, including:<\/p>\n<ul>\n<li>Proxy statement preparation<\/li>\n<li>Section 16 and related compliance<\/li>\n<\/ul>\n<p>Advise on capital markets activity and strategic transactions, including:<\/p>\n<ul>\n<li>Financings<\/li>\n<li>Corporate restructuring initiatives.<\/li>\n<\/ul>\n<p>Partner with cross functional stakeholders on equity compensation governance and compliance.<\/p>\n<p>Support global entity management and corporate structure optimization across jurisdictions.<\/p>\n<p>Oversee preparation and review of Board, shareholder, and subsidiary governance materials.<\/p>\n<p>Drive best practices across governance tools, data rooms, and legal infrastructure.<\/p>\n<p>Provide legal support to procurement and supply chain functions, including:<\/p>\n<ul>\n<li>Drafting and negotiating complex commercial agreements<\/li>\n<li>Advising on manufacturing and operational risk<\/li>\n<\/ul>\n<p>Act as a senior legal partner to Finance, Tax, HR, and business leadership.<\/p>\n<\/p>\n<p>Experience<\/p>\n<ul>\n<li>Approximately 8-12+ years of legal experience<\/li>\n<li>Background in corporate and securities law from a leading law firm;
